This Terms of Service, also referred to as our Terms and Conditions of Purchase, governs the relationship between Navigate Peptides (“we”, “us”, or “our”) and any visitor, customer, or institutional purchaser (“you”) of the website operated at navigatepeptides.com (the “Site”).
1. Acceptance
By accessing or using the Site, placing an order, or creating an account, you represent that you are twenty-one (21) years of age or older, that you have read and accept these Terms of Service in full, and that you are entering into a binding agreement with Navigate Peptides. If you do not accept these Terms, do not use the Site. Unless specified otherwise, your use of the Site is also governed by our Privacy Policy, which is incorporated herein by this reference.
2. Research-Use-Only scope
All products sold through the Site are research-grade compounds intended for in-vitro laboratory research, academic study, or institutional research only. Products are not intended for human dosing, injection, or ingestion, are not intended for veterinary use, are not dietary supplements, are not drugs, and are not approved by the U.S. Food and Drug Administration for any therapeutic purpose. By placing an order you represent that the materials are being acquired solely for the laboratory or research purposes described in this section.
3. Product and sale limitations
Products offered on this website are intended strictly for laboratory research and research use only (RUO). They are not intended for human or veterinary use, consumption, diagnosis, treatment, prevention, or cure of any disease or medical condition.
Purchasers must be at least 21 years of age and are responsible for ensuring that their purchase and intended use comply with all applicable federal, state, and local laws and regulations.
We reserve the right to refuse or cancel any order that does not comply with these requirements or our Terms and Conditions.
4. Eligibility and account
Use of the Site and the placement of orders is restricted to (a) individuals twenty-one (21) years of age or older, (b) acting on behalf of themselves as a qualified researcher or on behalf of a research institution, university, contract research organization, or analytical laboratory, and (c) with the legal capacity to enter into binding contracts. You are responsible for the accuracy of all information you provide and for maintaining the confidentiality of any account credentials. You agree to notify Navigate Peptides immediately of any unauthorized use of your account.
5. Orders, pricing, and payment
An order placed through the Site constitutes an offer by you to purchase the listed products subject to these Terms. Navigate Peptides reserves the right to accept or decline any order in whole or in part for any lawful reason, including but not limited to suspected misuse, suspected diversion to non-research purposes, errors in pricing or availability, and inability to verify the purchaser. Pricing is shown in U.S. Dollars and is exclusive of any applicable taxes; the order total at checkout is binding once the order is accepted. Navigate Peptides retains title to the products until payment has cleared in full.
We reserve the right to correct any inaccuracies or typographical errors in the information posted on the Site, and shall have no liability for such errors. Information may be changed or updated without notice, and prices and availability of products are subject to change without notice.
6. ACH and e-Check payment authorization
All ACH/e-Check payments will be made payable to: Navigate Peptides.
ACH debit authorization for order payment. Each time I (the customer) place an ACH/e-Check order by clicking the “Place Order” button, I am authorizing Navigate Peptides to initiate a single ACH/electronic debit to my account in the amount of my order from the bank account information provided on the date of my order. I agree that ACH transactions I authorize comply with all applicable law. Payments made after 2 PM Eastern time will be applied as of the next business day. To complete the payment process, click the “Place Order” button. Once payment is authorized, there cannot be any changes or corrections. It is recommended that you print a copy of this authorization and maintain it for your records.
ACH debit/credit authorization for micro-entries used for account validation. Each time I (the customer) place an ACH/e-Check order by clicking the “Place Order” button, I am authorizing Navigate Peptides to initiate a one-time ACH/electronic debit and/or credit entry to my account for a micro amount (less than $1) in order to validate my bank account information provided on the date of my order. I also authorize Navigate Peptides to initiate an ACH credit to recover the amount of a micro deposit. I agree that such ACH transactions comply with all applicable law. Once you click the “Place Order” button, you cannot revoke this authorization. Payments made after 2 PM Eastern time may receive account validation micro entries the next business day. It is recommended that you print a copy of this authorization and maintain it for your records.
7. Shipping and delivery
Shipping is governed by our Shipping Policy, which is incorporated by reference. Risk of loss passes to you when the carrier marks the shipment as delivered.
8. Returns and refunds
Returns are governed by our Refund and Returns Policy, which is incorporated by reference and reproduced here. All return requests require a prior Return Merchandise Authorization.
Shipping costs. Customers are responsible for all return shipping costs unless the return is due to an order error or non-conforming product. All returns must be shipped using a tracked and insured service.
Inspection and refunds. All returned items are subject to inspection upon receipt. Products must be unopened, unused, and in their original condition to be eligible for a refund. Approved refunds are issued to the original payment method at our discretion. Processing may take up to fourteen (14) business days after the returned item is received and approved.
Shipping damage. We are not responsible for damage, loss, or delays caused by shipping carriers. Any shipment arriving damaged or compromised must be reported within twenty-four (24) hours of delivery, including photographic evidence of the packaging and contents. Items with compromised packaging must not be used.
Contact for RMA requests. All return requests must be submitted in advance via email at shipping@navigatepeptides.com. Unauthorized returns will not be accepted.
9. Acceptable use and prohibited conduct
You agree not to: (a) use the Site or any product purchased from it for human or veterinary administration, dosing, injection, ingestion, inhalation, or topical application; (b) resell or redistribute the products outside of the laboratory or research context for which they were sold; (c) misrepresent the products to any downstream party, including by promoting them as drugs, dietary supplements, cosmetics, or therapeutic agents; (d) use the Site to violate any applicable law, regulation, or third-party right; (e) attempt to probe, scan, or test the vulnerability of the Site or any related infrastructure; (f) use automated tools to scrape, harvest, or replicate any content; or (g) impersonate another person or institution or misrepresent your affiliation.
In using the Site you are further prohibited from modifying, distributing, transmitting, reproducing, publishing, licensing, transferring, or selling any information, products, or services obtained or viewed on the Site, except as expressly permitted in Section 10.
10. Intellectual property
The Site, including its text, graphics, user interfaces, visual interfaces, photographs, logos, 3D models, product descriptions, artwork, computer code, and the trade dress of the Navigate Peptides mark — including the design, structure, selection, coordination, expression, “look and feel”, and arrangement of that content — is owned, controlled, or licensed by Navigate Peptides and is protected by U.S. and international copyright, patent, trademark, and unfair-competition laws. You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Site for the purpose of evaluating and purchasing products. Any other use, including reproduction, redistribution, or creation of derivative works, requires prior written consent.
You may display, download, or print hard copies of material contained on the Site for your own internal, non-commercial research use, provided that you do not modify the content or delete any copyright, trademark, or other proprietary notice.
11. Information you provide to us
Our collection and use of any information you provide while using or visiting the Site is governed by our Privacy Policy and these Terms. In using the Site you may not upload, distribute, or otherwise publish any information that is obscene, defamatory, libelous, threatening, abusive, illegal, an invasion of privacy rights, or otherwise objectionable, or that may constitute or encourage a violation of any law.
Except for individually identifiable information collected from you in accordance with our Privacy Policy, all comments, remarks, suggestions, ideas, or other information you communicate to us becomes the exclusive property of Navigate Peptides, and you grant Navigate Peptides a royalty-free, perpetual, irrevocable, worldwide, non-exclusive license to use or reproduce the same. We are free to copy, disclose, distribute, or analyze any such information for any and all purposes and are in no way obligated to compensate you for it.
12. Third-party links and software
Links from or to websites outside the Site are provided for convenience only. Navigate Peptides does not review, endorse, approve, or control, and is not responsible for, any sites linked from or to the Site, the content of those sites, the third parties named therein, or their products or services. Linking to any other site is at your sole risk, and Navigate Peptides will not be responsible or liable for any damages in connection with linking. Navigate Peptides disclaims all warranties, express and implied, as to the accuracy, validity, and legality of any materials or information found on those sites.
Links to downloadable software sites are provided for convenience only, and Navigate Peptides is not responsible or liable for any difficulties or consequences associated with downloading software. Use of any downloaded software is governed by the terms of the license agreement, if any, which accompanies or is provided with that software.
13. Availability of the Site
The Site is generally available twenty-four (24) hours per day, seven (7) days per week, three hundred sixty-five (365) days per year. However, Navigate Peptides retains the right to make the Site unavailable at any time, for any reason, and for any length of time. By using the Site you agree that Navigate Peptides will not be liable for any damage arising out of or related to any such interruption, suspension, or termination of the Site or of the services or products described on it.
Upon acceptance of these Terms, Navigate Peptides authorizes you to view the content of the Site for the purposes described in Section 4. The material on the Site is intended for qualified researchers and for research institutions, universities, contract research organizations, and analytical laboratories acting through their authorized representatives. If you are not accessing the Site for those purposes, you may not use the Site.
14. No medical or professional advice
Information published on the Site, including product descriptions and any referenced research literature, is provided for informational purposes only. It is not, and is not intended to be, a substitute for professional medical advice, diagnosis, or treatment, and Navigate Peptides makes no representation that the information is appropriate for any particular use. Nothing on the Site constitutes a recommendation to purchase any product for any specific application.
15. Disclaimer of warranties
The Site and the products are provided “as is” and “as available”, without warranty of any kind, express, implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, except for the express warranty that each product conforms to its certificate of analysis. Navigate Peptides does not warrant that the Site will be uninterrupted, error-free, secure, or free from viruses or other harmful components, that defects will be corrected, or that the content is accurate, complete, or current.
Navigate Peptides expressly disclaims liability for technical failures, including hardware or software failures, incomplete, scrambled, or delayed transmissions, technical inaccuracies, and unauthorized access to user transmissions by third parties. You have sole responsibility for adequate protection and backup of your data and equipment.
16. Limitation of liability
To the maximum extent permitted by applicable law, in no event shall Navigate Peptides, its members, officers, employees, contractors, advisors, suppliers, vendors, or affiliates be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or research opportunity, arising out of or relating to your use of the Site or the products, whether based on contract, warranty, tort, negligence, strict liability, statute, or any other legal theory, even if we have been advised of the possibility of such damages. The aggregate liability of Navigate Peptides for any claim arising out of or relating to these Terms or your use of the Site shall not exceed the amount you paid Navigate Peptides in the twelve (12) months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law. If you are dissatisfied with the Site or its content, your sole and exclusive remedy is to discontinue using the Site.
17. Indemnification
You agree to indemnify, defend, and hold harmless Navigate Peptides, its members, officers, directors, employees, contractors, agents, partners, vendors (including payments providers), and affiliates from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your breach of these Terms, (b) your misuse of any product purchased from the Site, including any human or veterinary administration, (c) your violation of any law or third-party right, (d) your negligence or willful misconduct, or (e) any content you submit, post, or transmit through the Site.
18. Force majeure
Navigate Peptides is not liable for any delay or failure to perform caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government action, public-health emergencies, supply-chain failures, backorders of requested products, carrier disruption, customs delays, lost shipments, internet or utility outages, and the actions or omissions of third parties. Navigate Peptides shall not be responsible for notifying you in the event of such delays, and you are solely responsible for making alternative arrangements and for any costs incurred in doing so.
19. Termination
Navigate Peptides may suspend or terminate your access to the Site or any account at any time, with or without notice, for any breach of these Terms or for any other reason at our sole discretion. If your violation causes harm to others, you agree to indemnify and hold Navigate Peptides harmless from and against any and all loss, damage, or expense. If any dispute arises between us regarding these Terms or your use of the Site, it shall first be addressed through good-faith negotiation between the parties. Sections 9 through 24 survive any termination.
20. Relationship of the parties
Navigate Peptides and users of the Site are independent contractors. No agency, partnership, joint venture, employment, or other relationship is created or is intended to be created by the use of the Site.
21. Governing law and dispute resolution
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict-of-laws rules. The exclusive jurisdiction and venue for any action arising out of or relating to these Terms or your use of the Site shall be the state and federal courts located in Orange County, California, and you consent to personal jurisdiction in those courts. Each party waives any right to a jury trial. Any claim must be brought within one (1) year after the claim arose; claims brought after that period are time-barred. You access the Site at your own risk and remain responsible for complying with the laws of the jurisdiction in which you are located.
22. Severability and entire agreement
If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions remain in full force and effect, and the invalid provision shall be modified or limited to the minimum extent necessary to render it enforceable. These Terms, together with our Privacy Policy, Shipping Policy, and Refund and Returns Policy, constitute the entire agreement between you and Navigate Peptides regarding the Site and supersede any prior understanding or agreement, whether electronic, oral, or written, regarding the subject matter.
23. Headings
The headings contained in these Terms and in our Privacy Policy are for reference only and do not affect the interpretation of any provision.
24. Modification of Terms
We may revise these Terms from time to time. The “Effective” date at the top reflects the most recent revision. Continued use of the Site after a revision constitutes acceptance of the revised Terms. If you do not accept any revision, you must stop using the Site.
25. Acceptance by placing an order
By checking the acknowledgment box and clicking “Place Order” at checkout, you agree to all of these Terms and Conditions as stated above, together with our Privacy Policy, Shipping Policy, and Refund and Returns Policy, and you confirm that you accept the research-use-only limitations set out in Sections 2 and 3.
